1. SCOPE OF THE CONTRACT
These Conditions of Sale are implied into all Contracts of The Purbeck
Press ("the Business ") and its customers unless agreed to
the contrary
2. INTELLECTUAL PROPERTY
The copyright design right and the moral right in the designs and
stamps of the Business belong to the Business and are hereby asserted
3. ACCEPTANCE AND INSPECTION
All Goods are subject to quality control. The Customer must inspect
Goods on delivery and must notify the Business within fourteen days
of any defect
4. PRICE (unless otherwise agreed by the Business)
(a)Payment shall be made with order. The Business reserves the right
to ignore orders not accompanied by the appropriate payment.
(b)In the event that the Business accepts a variation or change of specification
then the price and programme may vary
(c)Prices will be paid in pounds sterling
(d) Interest will be charged on outstanding invoices after 30 days at
the County Court rate
5. RETENTION OF TITLE
(a) Notwithstanding delivery all Goods shall belong to the Business
until all money due to the Business has been paid
(b)Until full payment the Customer shall hold the Goods as bailee for
the Business
(c)Where Goods that have not been paid for are not clearly identifiable
to particular Invoices they shall be attributed to the last unpaid Invoices
(d)Notwithstanding that the Goods (or any of them) remain the property
of the Business the Customer may sell or use the Goods in the ordinary
course of business at full market value for the account of the Business.
The Business shall be entitled to recover the price (plus VAT) notwithstanding
that property in any of the Goods has not passed from the Business
(e)If the Customer fails to pay for Goods then he shall upon request
re-deliver all Goods in his possession. The Customer gives the Business
and its licencees irrevocable license to enter upon any premises owned
occupied or controlled by him where the Goods are situated and to repossess
the Goods. Upon such failure the rights of the Customer to sell the
Goods shall cease
6. FORCE MAJEURE
The Business shall not be responsible for non-performance in whole
or any part of its obligations in respect of any cause beyond its reasonable
and direct control
7. THE BUSINESS' RIGHT TO CANCEL
If the Customer shall remain in breach of its obligations for five
working days after the Business shall have served notice of such breach
on the Customer or if the Customer shall die or be liquidated bankrupted
or have a receiver or administrator appointed to any of its assets then
the Business shall have the right to cancel the contract forthwith and
to receive payment in full for all work in progress reasonable expenses
disposal costs and the Contract profit
8. LIMITATION OF LIABILITY
(a)Save in relation to death and personal injury the Business and
its servants and directors shall only be liable for contractual damages
arising from any defect in the Goods or breach of the Contract or general
law up to the Contract price and shall only be liable for damages in
tort up to such sum as shall be receivable in respect of the Insurances
effected by the Business
(b) The Business has no responsibility for misuse by a Customer of Goods
nor for any consequential loss or damage to property or persons arising
from either the proper or improper use of Goods
(c)The Business will not be responsible for any default of any third
party specified by the Customer but will on demand assign to the Customer
its right against such third party
9. CONFIDENTIALITY
Each party will preserve the confidential business information and
know how of the other ("Trade Secrets") and shall not take
any steps to discover the Trade Secrets nor to use the Trade Secrets
for its own benefit in any way nor divulge the Trade Secrets to any
third party
10. INTERPRETATION
Reference in these Conditions to the singular shall include the
plural and to the male shall include the female and corporate entities
11. ENGLISH LAW
The Contract shall be subject to English Law and under the non-exclusive
jurisdiction of the English Courts
